International & Offshore Legal Counsel
We are looking for an experienced International & Offshore Legal Counsel with a strong background in corporate law, international business, and offshore structures.
The ideal candidate is comfortable working across multiple jurisdictions, can independently manage a broad range of legal matters, and combines strong legal expertise with a practical and commercially minded approach.
Key Responsibilities
- Provide legal support for companies operating across multiple international and offshore jurisdictions.
- Manage company incorporations, restructurings, and liquidations were required.
- Prepare and review corporate documentation, including board and shareholder resolutions, powers of attorney, and other corporate documents.
- Coordinate changes of directors, shareholders, beneficial owners, registered offices, and other corporate information.
- Monitor statutory obligations, corporate renewals, filings, and deadlines across Group entities.
- Draft, review, and negotiate commercial agreements.
- Prepare and review service agreements, consultancy agreements, NDAs, affiliate and Introducing Broker agreements, partnership agreements, vendor agreements, technology agreements, and intercompany agreements.
- Provide legal support for activities within financial services, Forex, fintech, and, where relevant, crypto and digital assets.
- Provide legal support for expansion into new markets and jurisdictions.
- Cooperate closely with Compliance on regulatory and licensing matters.
- Coordinate external law firms, corporate service providers, registered agents, and local legal advisors across different jurisdictions.
- Provide legal support for relationships with banks, payment service providers, EMIs (Electronic Money Institutions) and other financial partners.
- Support corporate KYC/KYB and due diligence requests from banks, partners, and other institutions.
- Identify legal risks and escalate material issues to management in a timely manner.
- Assess new projects, products, business models, and strategic partnerships from a legal perspective.
- Maintain and regularly update corporate and contractual documentation.
- Maintain an overview of legal entities, contracts, powers of attorney, key deadlines, and corporate obligations.
- Ensure that critical legal knowledge and documentation are properly maintained and are not dependent on one individual.
- The main responsibilities of this role cover the UAE, Seychelles, and Mauritius
Requirements
- University degree in Law.
- Previous experience in corporate, commercial, international, or financial services law.
- Experience working with international companies, offshore jurisdictions, and corporate structures.
- Strong knowledge of commercial contracts and corporate documentation.
- Ability to independently draft, review, and negotiate legal agreements.
- Excellent written and spoken English, including strong legal English.
- Ability to manage legal matters across multiple jurisdictions.
- Experience coordinating external law firms and professional advisors.
- Strong analytical and organizational skills.
- High level of accuracy, independence, discretion, and confidentiality.
- Ability to identify legal risks and provide practical, commercially viable solutions.
- Ability to manage multiple priorities in a dynamic international environment.
